Term of Use and Terms of Sponsorship

We are Q-BEC Foods, a registered Trademark of Quebec Food Processing Industrial Parks Ltd.

1. INTRODUCTION

   1. Please read these Terms of Use, which set forth the legally binding terms and conditions for your use of the services (the “Service”) offered by Quebec Food Processing Industrial Parks Ltd. (“QUEBEC FOOD” or the “Company”) and the website at https://quebecfoods.quebecgroups.com.
   2. Your access to use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service and all applicable laws and all conditions or policies referenced here (collectively, the “Terms of Use”).
   3. By accessing or using the Service you agree to be bound by these Terms, and that the Company may use any information the Company obtains about you in accordance with the provisions of the Privacy Policy.
   4. In these Terms of Use, we refer to those contributing funds as “Sponsors”. Other users of the Service and visitors to the Site are referred to collectively as “Users.”

2. LEGAL AND REGULATORY INFORMATION

   1. Quebec Food Processing Industrial Parks Ltd is an agricultural production, processing, marketing, distribution and agro export Investment Company that gives Sponsors the opportunity to participate in the agricultural sector by selecting the kind agribusiness profit venture they want to sponsor. We use the contributors’(“Sponsors”) funds to complete a full Mechanized crop production , Cash Crops , poultry, Livestock farming cycle, Processing plant setup. We sell the products and then pay the Sponsor profits from a successful farming cycle and proceeds from exported food products

3. SPONSORSHIP TERMS

   1. The Sponsors shall invest the sum agreed as specified in advertised available farms and Processing Plants venture for an agreed venture cycle.
   2. The sponsors shall make payment via the payment processor on the website or into the corporate account of Quebec Food Processing Industrial Parks Ltd.
   3. Quebec Food to provide information about farm and Processing Plant cycle sponsors participated in on demand and periodically.
   4. When sponsor creates an account with us, you must provide us information that is accurate, complete, and current always. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
   5. Sponsors are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
   6. In the event of any disagreement between the Parties concerning, touching on, or related to the execution, implementation or interpretation of this agreement, the Parties shall first submit the dispute to their solicitors for resolution and shall in good faith give every necessary assistance to their solicitors in order to find a resolution thereto before exploring any other methods of resolving the dispute.
   7. Where, after 14 days of notification of the other party or the other party’s solicitor of the need to resolve a dispute, the dispute has not been resolved, the complaining party is at liberty to explore other means of resolving same.
   8. Sponsors are required by this agreement to make sponsorship below 10% of their annual income per cycle. Institutional sponsors however are not limited by this clause.
   9. Sponsors admit to the understanding that agribusiness venture crowdfunding arrangement is risky and sponsor may lose entire investment and confirms that he/she can bear loss without undue hardship, established by acceptance of this agreement.
   10. Quebec Food shall obtain an Agricultural Insurance Policy from reputable insurance companies per venture cycle as well as deploy other risk mitigation strategies/structure in conducting our operations to mitigate the risk of loss.

4. WARNING

   1. The investments hosted on the portal are risky and companies raising funds via our portal include new or rapidly growing ventures.
   2. Investment in the businesses hosted on the portal is very speculative and carries high risk.
   3. Sponsors may lose entire investment and must be prepared to bear the loss without undue hardship.
   4. Sponsors are required to ask questions, read all information given carefully and seek independent financial advice before committing themselves.

5. ACKNOWLEDGEMENT

   By using our website, sponsors affirm to the following conditions;

   1. That you understand that the proposed investment is a risky one.
   2. That the proposed investment amount falls within the prescribed investment limits.
   3. That you may never be able to sell the securities or investment instrument.
   4. That you would be provided with no disclosure or less disclosure than publicly traded companies.
   5. That you will not have the benefit of protections associated with an investment made under a prospectus.
   6. That you would not be entitled to claim from the National investors’ protection fund.
   7. That Quebec Food would not be responsible if you lose all or some of the investment.

6. ANTI-MONEY LAUNDERING

   1. Where we discover that the Platform is being used to launder money or for any suspicious transactions, we have an obligation to report your activities to the relevant authorities without recourse to you.
   2. The Company reserves the right to require additional information and means of identification from a Sponsor when we discover any form of discrepancy in the name of the Sponsor and the profile of the payer vis-à-vis the profile of the receiving account of the Sponsor.

7. TERMINATION

   1. Parties agree that these Terms shall commence on the date you register to sponsor a farm with the Company and shall remain valid and binding for as long as you have outstanding sponsored farming cycles.
   2. Sponsors have the right to terminate sponsorship, provided you have no outstanding sponsorship farm cycle.
   3. In the event sponsor desires to terminate before the completion of the farm cycle, you shall send a notice to [email protected], Quebec Food shall deduct an administrative fee for the pre-liquidation of sponsorship.
   4. Quebec Food may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

8. INDEMNITY

   You agree to indemnify and hold harmless the Company, any farmer, and all our other agents or sub-contractors, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:

   1. Your fraudulent or illegal use of the Platform, the Services or the Website;
   2. Your negligence or any default by you of any of these Terms
   3. Any inaccurate or incomplete information that you have knowingly provided to us;
   4. Your allowing any other person to access your account either with your permission or as a result of your failure to keep your username and password private
   5. Any service that you have offered, whether with or without our permission, to another third party using our Platform, Services or Website.

9. GOVERNING LAW

   These Terms shall be governed and construed in accordance with the laws of The Federal Republic of Nigeria, without regard to its conflict of law provisions.

   Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

10. CHANGES TO TERMS

    Quebec Foods reserves the right, in its sole discretion, to change the Terms under which our business is offered. The most current version of the Terms will supersede all previous versions. Quebec Food encourages you to periodically review the Terms to stay informed of our updates.
